Master Terms of Service & User Agreement.

1. Scope & Legal Binding
This Master Agreement ("Terms", "Agreement") is a legally binding contract between you ("User", "Buyer", "Vendor", or "Partner") and Rishal Babu & Co. ("Company", "We", "Us", "Our"), having its registered office at G12 Surya Hillview Apartments, Bhatri Road, 4th Cross Vidya Nagar, Cantonment, Ballari, Karnataka 583104, India (GSTIN: 29CTFPP6205E1ZN).
By accessing, browsing, creating an account, acquiring digital pixel plots on 2M Pixel World, issuing RFQs, or engaging in B2B commerce across our ecosystem websites and mobile applications, you confirm that you have read, understood, and agreed to be bound by these Terms.
2. Eligibility & Account Verification
Access to enterprise marketplace services and corporate features is restricted to individuals who are at least 18 years of age and legal entities capable of entering into legally binding contracts under the Indian Contract Act, 1872.
- Business Entities: Corporate accounts must submit valid Indian Tax Identification Numbers (GSTIN, PAN) or international equivalent tax identifiers during registration.
- Account Credentials: You are solely responsible for maintaining the confidentiality of your credentials, OTP access, and API tokens. Any action performed through your verified account is deemed authorized by you.
- Inaccurate Registration Data: The Company reserves the right to suspend or terminate accounts providing fraudulent tax numbers, false business addresses, or impersonating third parties.
3. 2M Pixel World & Digital Territory Allocation
2M Pixel World is a digital 2,000,000 pixel interactive atlas and 3D WebGL metaverse platform operated by Rishal Babu & Co.
Digital License Grant:
Purchasing a pixel plot or 3D skyscraper slot grants the buyer a perpetual, non-exclusive digital license to display their brand logo, custom title, description, category tag, 3D building mesh, and target URL on the designated coordinates ($X, Y$) of the 2,000,000 pixel atlas canvas.
Irrevocable Allocation Notice:
Because pixel plots are mapped and instantly rendered on the public 2D canvas and 3D WebGL space upon payment confirmation, digital pixel allocations are final and non-transferable unless explicit consent is provided via official transfer protocol.
3.1. 2M Pixel World Founder Grant Program & Squad Pitch Showcase (Game of Skill)
Participation in the Milestone Founder Grant Program (up to $711,000 USD cumulative allocation) is strictly conducted as a merit-based Game of Skill under Indian law and applicable international jurisdictions:
Squad Formation & Activation: A "Captain" user must purchase a contiguous plot of at least 3 pixels and invite exactly 3 distinct teammate email addresses. Each invited teammate must purchase their own pixels on the canvas. When all 3 teammates complete their purchases, the squad status converts to "ACTIVE", unlocking the Pitch Submission Portal.
Skill-Based Evaluation (No Lottery): The Captain submits the squad's Project Title, 140-character Vision Pitch, and Canvas Artwork Concept. During milestone live stream broadcasts, an independent celebrity guest judge reviews qualifying squad pitches and awards the tier grant based strictly on creativity, originality, and execution. No element of chance, random number generation, or lottery is involved.
Milestone Funding Covenants: The canvas is divided into 100 chronological milestones (20,000 pixels per milestone). Grants are funded sequentially from each milestone's gross sales proceeds. If milestone sales are ongoing, only reached milestones disburse their allocated tier grants as detailed in the published progression table.
Statutory Tax Deduction (TDS) & KYC: In accordance with Section 194B/194BA of the Indian Income Tax Act, 1961, all monetary grants, checks, and hardware awards exceeding statutory thresholds are subject to 30% Tax Deducted at Source (TDS). The Captain must furnish valid PAN (Permanent Account Number) and government-recognized KYC verification before disbursements are initiated.
Logistics & Anti-Fraud: The Captain acts as the designated representative for grant logistics and prize agreements. We reserve the absolute right to disqualify squads and terminate accounts without refund if fraudulent emails, automated scripts, or "ghost" purchases are detected.
4. Acceptable Content & Prohibited Uses
All published brand logos, destination URLs, graphics, and descriptions uploaded to 2M Pixel World or B2B RFQ portals must comply with applicable laws of India and global standards. The following content is strictly prohibited:
Counterfeit goods, unauthorized pharmaceutical drugs, illegal gambling, ponzi schemes, or deceptive financial products.
Unlicensed trademarked logos, defamatory material, adult content, or content inciting violence or discrimination.
The Company reserves the absolute right to hide, modify, or remove any non-compliant brand listing without refund if content guidelines are violated.
5. Pricing, Payments & Tax Compliance
All payments processed on the platform are handled via PCI-DSS Compliant payment gateways (Cashfree, Stripe).
- GST & Invoicing: Indian transactions attract 18% Goods and Services Tax (GST) in accordance with the Central Goods and Services Tax Act, 2017. Tax Invoices with GSTIN credit are issued automatically.
- Currency: Prices are displayed in Indian Rupees (INR ₹) or United States Dollars (USD $). Currency conversion rates applied by payment gateways at checkout are final.
- Failed Transactions: In the event of a payment deduction without order generation due to network timeout, funds are auto-refunded to source accounts within 5–7 business days.
6. B2B Vendor Network & Purchase Order Agreements
For enterprise buyers and registered B2B vendors executing manufacturing RFQs or bulk supply orders:
Purchase Orders (POs) generated through the platform constitute binding commercial contracts between the Buyer and Vendor. Vendors warrant that all delivered shipments adhere strictly to tolerance specifications, technical drawings, and agreed delivery SLAs.
7. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, Rishal Babu & Co., its directors, officers, and employees shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, data corruption, or business interruption.
In no event shall the total aggregate liability of the Company exceed the total fees paid by the User to the Company in the three (3) months preceding the claim, or ₹10,000 INR, whichever is lower.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Ballari, Karnataka, India.
